Terms of Service

This Terms of Service ("Terms") constitutes a legally binding agreement between you ("User," "you," "your") and Foreverably ("Developer," "we," "us," "our") governing your use of the Nexu Discord Bot ("Nexu," "the Bot").

By inviting Nexu to your Discord server, interacting with it, or otherwise utilizing its features, you signify your unreserved agreement to these Terms. If you do not agree with any part of these Terms, you must not use Nexu.

1. Acceptance of Terms

Your access to and use of Nexu is conditioned upon your acceptance of and compliance with these Terms. These Terms apply to all users and others who access or use the Bot. Your continued use of Nexu after any modifications to these Terms constitutes your acknowledgment and acceptance of the revised Terms.

2. Description of Service

Nexu is a quality-of-life Discord bot designed to bring enhancements to your server. Its core functionalities include, but are not limited to, a clean Skullboard feature allowing users to save humorous or notable messages, the ability to automate routine tasks such as closing threads or adding tags, and comprehensive tools for creating forms and applications.

3. User Responsibilities and Prohibited Conduct

When using Nexu, you agree to abide by these Terms and all applicable laws and regulations. You also acknowledge and agree that your use of Nexu is subject to Discord's own Terms of Service and Community Guidelines.

You agree not to engage in any of the following prohibited activities:

  • Spamming or Flooding: Using Nexu commands, features, or any part of the bot excessively or in a manner that creates nuisance or disrupts server functionality.
  • Harassment or Hate Speech: Utilizing Nexu features to engage in, promote, or facilitate harassment, hate speech, discrimination, or any other form of abusive behavior towards individuals or groups.
  • Malicious Activity: Attempting to exploit vulnerabilities, disrupt, damage, or interfere with the proper functioning of Nexu, its servers, or its related services. This includes, but is not limited to, denial-of-service attacks, introducing viruses, or other harmful code.
  • Impersonation: Impersonating Nexu, its developers (Foreverably), other users, or any other entity, whether directly or indirectly, through the bot's features.
  • Bypassing Limitations: Attempting to circumvent, bypass, or undermine any rate limits, cooldowns, security measures, or other restrictions imposed by Nexu or the Developer.
  • Unauthorized Access: Trying to gain unauthorized access to any part of Nexu's code, data, internal systems, or features not intended for public use.
  • Selling or Trading Features: Selling, trading, reselling, or otherwise monetizing any features, benefits, or access provided by Nexu without explicit written permission from Foreverably.
  • Abuse of Features: Misusing any of Nexu's features, including the Skullboard (e.g., for sending inappropriate content), applications (e.g., for collecting sensitive data without consent or for malicious purposes), or automation tools, in a way that violates these Terms or Discord's policies.
  • Violation of Laws: Using Nexu for any purpose that is illegal or violates any local, national, or international law or regulation.

4. Moderation and Enforcement

  • Foreverably reserves the right, at its sole discretion, to determine what constitutes a violation of these Terms.
  • In the event of a violation, we may take any action we deem appropriate, including but not limited to:
    • Issuing warnings.
    • Temporarily suspending access to Nexu features.
    • Permanently banning a user or a server from using Nexu.
    • Removing or modifying content generated through Nexu.
    • Reporting the activity to Discord or relevant law enforcement authorities.
  • You acknowledge that Foreverably is not obligated to monitor all user activity but reserves the right to do so and to take action based on observed or reported violations.

5. Intellectual Property

  • Nexu Ownership: All rights, title, and interest in and to Nexu, including its code, design, logo, name, features, and all intellectual property rights associated therewith, are and will remain the exclusive property of Foreverably. These Terms do not grant you any right, title, or interest in Nexu or its content.
  • User-Generated Content:
    • Application Answers: Any content or answers submitted by users through Nexu's application/form features remain the intellectual property of the individual users who submit them, as well as the individuals who review and process them. You grant Nexu a non-exclusive, worldwide, royalty-free license to use, display, and process such content solely for the purpose of providing the application functionality.
    • Skullboard Content: Messages or content saved to a Skullboard channel are considered the intellectual property of the server owner where the Skullboard is enabled. You grant Nexu a non-exclusive, worldwide, royalty-free license to display and distribute such content within the designated Skullboard channel as part of the bot's functionality.
  • By submitting or providing content through Nexu, you represent and warrant that you have the necessary rights to grant the licenses contained herein and that your content does not infringe on the rights of any third party.

6. Disclaimer of Warranties

Nexu is provided on an "AS IS" and "AS AVAILABLE" basis. Foreverably makes no warranties, express or implied, regarding the operation or availability of the Bot or the information, content, materials, or products included on it.

To the fullest extent permissible by applicable law, Foreverably disclaims all warranties, express or implied, including, but not limited to, implied warranties of merchantability and fitness for a particular purpose, and non-infringement. Foreverably does not warrant that Nexu will be uninterrupted, error-free, secure, or free of viruses or other harmful components.

7. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Foreverably, nor its developers or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use Nexu; (ii) any conduct or content of any third party on Nexu; (iii) any content obtained from Nexu; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

8. Changes to Terms

  • We reserve the right, at our sole discretion, to modify or replace these Terms at any time.
  • Minor changes (e.g., grammatical corrections, clarifications) will become effective immediately upon posting.
  • Major changes (e.g., changes to data handling, significant new restrictions) will be communicated via announcements in our official support server (https://discord.gg/VawrykhMpE) with a reasonable notice period before they take effect.
  • By continuing to access or use Nexu after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using Nexu.

9. Termination

  • Foreverably may terminate or suspend your access to Nexu immediately, without prior notice or liability, at our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms.
  • Specifically, access may be terminated due to serious Terms of Service violations that may warrant further legal action.
  • All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Governing Law

  • These Terms shall be governed and construed in accordance with the laws of Texas, USA, without regard to its conflict of law provisions.
  • Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
